Keiretsu is a Japanese term describing a network of companies with interlocking ownership, business relationships, and shared financial ties — typically centred around a main bank and a general trading company. The companies within a keiretsu hold shares in one another, supply each other’s production chains, and coordinate decisions in ways that bind them more tightly than ordinary commercial relationships.
A keiretsu typically rests on three structural elements:
Cross-shareholding: member companies hold equity in each other, creating mutual financial interdependence and defence against hostile takeovers
Main bank relationships: a central bank provides financing, monitors performance, and steps in during financial stress
Intra-group trading: member companies preferentially source from and sell to each other, reinforcing the network’s commercial bonds
Notable Keiretsu Groups
| Keiretsu Group | Core Bank | Key Members |
|---|---|---|
| Mitsubishi | MUFG Bank | Mitsubishi Corp, Mitsubishi Motors, Kirin |
| Mitsui | Sumitomo Mitsui | Mitsui \& Co, Toyota, Toshiba |
| Sumitomo | Sumitomo Mitsui | Sumitomo Corp, NEC, Mazda |
| Fuyo | Mizuho Bank | Fuji Film, Nissan, Marubeni |
Analysts studying Japanese equities and the Japanese yen need to account for keiretsu dynamics when interpreting corporate earnings, merger activity, and policy responses. Because member firms support one another during downturns, financial distress within a keiretsu can spread across multiple listed companies simultaneously — a factor that amplifies both sector-wide declines and recoveries.
Keiretsu structures have been linked to inefficient capital allocation, slow restructuring, and a tendency to sustain underperforming subsidiaries rather than allow market forces to correct them. The 1990s Japanese asset bubble collapse exposed how cross-shareholding could magnify systemic losses across linked institutions rather than containing them. Regulatory and investor pressure since then has prompted many keiretsu to unwind cross-holdings gradually, though the networks remain influential in parts of the Japanese corporate landscape.
Japan’s corporate governance reforms over the past decade have pushed companies to prioritise return on equity and reduce circular shareholding. The keiretsu model is evolving rather than disappearing — understanding its history and current form remains essential for anyone studying Japanese equities, Japanese M\&A flows, or macro analysis of the yen and Nikkei 225.
