In financial markets, a unilateral contract is an agreement in which only one party is legally obligated to fulfil the terms. The other party retains the option but not the obligation — to act. If the second party chooses not to exercise that option, there is no breach and no legal consequence.
This stands in direct contrast to a bilateral contract, where both parties are bound by mutual obligations from the moment the agreement is signed. In a unilateral contract, the obligated party must perform regardless while the other party’s participation remains entirely discretionary.
One party makes a commitment that becomes binding upon a specific action or condition. The second party is under no obligation to fulfil that condition but if they choose to, the first party must honour their commitment in full.
For example: if a company advertises a reward for the return of lost property, they are bound to pay anyone who returns it. The finder has no obligation to search but once they act, the offering party must pay. In financial markets, this same structure underpins some of the most widely used instruments available to traders.
The unilateral contract is most directly embodied in options contracts — one of the most significant instruments in global markets.
When a trader purchases a call option or a put option, the seller is obligated to fulfil the terms if the buyer chooses to exercise. The buyer has no obligation to exercise at all. They may let the option expire worthless if the market moves against them — with their only financial exposure being the premium paid upfront.
One party bound. One party free to choose. That is the unilateral contract in action.
Beyond options, the principle also appears in standby letters of credit — where a financial institution is obligated to pay upon presentation of specified documents, while the beneficiary decides whether to present them — and in certain insurance contracts, where the insurer must pay upon a qualifying event, but the policyholder chooses whether to claim.
Unilateral contract — One party obligated. The second party holds the option to act or not. Obligation activates only if the second party chooses to perform.
Bilateral contract — Both parties obligated from the outset. Failure by either party constitutes a breach. Most standard trading agreements, loans, and service contracts fall here.
The distinction directly affects how risk is distributed and how each party should approach the agreement strategically.
For traders, the unilateral contract is the structural foundation of options trading — a market worth trillion globally. Every options position is, at its core, a unilateral contract: the seller is bound, the buyer chooses.
Understanding this asymmetry of obligation is what helps traders grasp exactly what they are purchasing — not just directional exposure, but the contractual right to act without any obligation to do so. That freedom is precisely what makes options one of the most flexible risk management tools in financial markets.
