Face value is the nominal or stated value of a security, such as a bond or a stock, as printed on the instrument or set by the issuer. Also called par value, it is a fixed figure assigned when the security is created, and it does not change with movements in the market. For bonds, the face value is the amount repaid to the holder at maturity, while for shares it is a nominal accounting figure that often bears little relation to the price at which the stock trades.
Face value serves as a reference point rather than a live market price. Bond interest payments, known as coupons, are calculated as a percentage of the face value, so a bond with a larger par value pays proportionally larger coupons. For shares, the face value appears on the balance sheet and is used to record share capital, separate from any premium paid by investors.
| Aspect | Face Value | Market Value |
|---|---|---|
| Set by | The issuer at creation | Supply and demand in the market |
| Changes over time | No, it is fixed | Yes, it moves constantly |
| Used for | Coupons, repayment, accounting | Buying and selling decisions |
| Example | A bond’s par of 1,000 | The price the bond trades at today |
A bond can trade above or below its face value depending on interest rates and credit conditions, described as trading at a premium or a discount. Understanding this gap helps investors see whether they are paying more or less than the amount that will be repaid at maturity. For shares, the market price reflects investor expectations rather than the nominal figure recorded in the accounts.
Face value on its own says little about whether a security is fairly priced, because the market can value it very differently. Treating par value as a measure of worth can be misleading, particularly for shares where it is largely an accounting entry. Investors gain more insight by comparing face value with the current market price and the wider conditions affecting the issuer.
Face value provides a fixed anchor for calculating coupons, repayments and share capital, which is why it appears throughout bond and equity documentation. Recognising how it differs from market value helps investors interpret premiums, discounts and yields with more confidence. Across VT Markets instruments, understanding these underlying concepts supports clearer reading of how securities are priced.
